A Legacy Entrusted Across Generations

The CU Shah Consolidated Trust represents a significant family legacy created by the late Mr Chimanlal U Shah, a respected figure from an established Jain family in Mumbai. His investments, made many years ago in a well known bluechip company, were held jointly with his wife, Mrs Sadguna C Shah. Both had passed away, leaving behind a Trust with six executors appointed to manage the estate.

Over the years, four of the original executors had also passed away, and new trustees had been added. The responsibility of overseeing the Trust had eventually come to Mr Rohit Vinayak Shah, a seasoned businessman and Director of Soham Logistics Limited. He had known Aksshay Jain for many years and reached out when he realised that the Trust’s share related matters had become increasingly difficult to resolve with his existing set of responsibilities.

The Challenge

The shares were still in physical form and needed to be dematerialised in the name of the Estate. The Trust already had a probate, but as we examined the documents, we realised that the probate had errors and did not fully represent the shareholdings that needed to be transferred. This would cause complications during the dematerialisation and transmission process.

The trustees had already spent nearly two years trying to complete these tasks. There had been extensive back and forth with the registrar and transfer agent. Several documents had been requested repeatedly, yet no clear progress had been made.
During our review, we uncovered something significant.
There were additional shareholdings belonging to the late Mr Chimanlal U Shah that the Trust was not even aware of. These holdings had been untouched for decades. Without proper identification and legal alignment, they would never have been recovered.

The case needed more than processing. It needed insight, precision and complete restructuring.

How We Resolved It

We began by reconstructing the entire shareholding picture of the Estate.
We mapped every known certificate and matched it with company records.
We verified the additional holdings we had identified and brought them to the attention of the trustees.
We worked closely with their lawyer to correct the probate and ensure that all holdings, including the newly discovered ones, were accurately represented.
We coordinated with the registrar and transfer agent to resolve all pending objections.
We supervised the complete dematerialisation process so the Estate could finally hold its investments in a modern and secure form.

Throughout, we ensured that communication remained clear and efficient. The trustees did not have to revisit any of the challenges they had faced in the previous two years.

Outcome and Impact

Not only were the original shareholdings dematerialised, but the additional shares that had remained unnoticed for years were also recovered. The Estate now has a complete and accurate record of its investments. The trustees finally achieved the clarity and closure they had been seeking.
